The Oil and Gas Decarbonization Charter (“OGDC”) is committed to protecting and respecting your privacy. OGDC is an initiative that does not have a separate legal personality which means that OGCI Climate Investments LLP (“CI” or “we”, “us”, “our”), an entity created by the members of the Oil and Gas Climate Initiative (“OGCI”), acts as the controller of your personal information that is collected via the OGDC website: ogdc.org (the “site”) .

This policy (together with our terms of use and any other documents referred to in it) sets out the basis on which any personal information we collect from you, or that you provide to us, will be used by us. Please read the following carefully to understand the type of information that we collect from the site, how we will use it and the rights that you have in relation to it. By visiting the site you are acknowledging that you have been informed about the practices described in this policy.

We collect your consent for some, or all the practices outlined herein by way of [forms / email tracking]. You can withdraw your consent at any time, as outlined below.

CI operates its own website: climateinvestment.com (the “CI Website”). OGCI also operates its own website: ogci.com (the “OGCI Website”). This privacy policy does not apply to the CI or OGCI Websites. Use of the CI Website or OGCI Website is subject to the appropriate privacy policy and terms of use contained on such sites.

For the purpose of this policy, “Data Protection Legislation” means the UK General Data Protection Regulation (“UK GDPR” and the Data Protection Act 2018 (“the 2018 Act”) as both terms are respectively defined (and as the UK GDPR and 2018 Act are respectively amended) by the Data Protection, Privacy and Electronic Communications (Amendments etc) (EU Exit) Regulations 2019 (SI 2019/419). Where this policy uses terms which are defined in the UK GDPR, then the definitions set out in the UK GDPR will apply.

Under the Data Protection Legislation, and as explained above, CI is the controller of the personal information we collect about you from the site, unless you specifically provide your personal information to another identified entity via the site – in which case, that entity will be the controller of such personal information. If you have any requests concerning your personal information or any queries with regard to these practices, please contact us at contact@ogdc.org

1. Information you give us

This is information about you that you give us by filling in forms on the site such as an application for investment or a job application or by corresponding with us by phone, e-mail or otherwise. It includes information you provide when you register with our site, contact us, subscribe to receive further information and when you report a problem with our site. The information you give us may include your first and last name, address, e-mail address, phone number, job title, the company you work for or any other details which you choose to include in your CV or covering letter (if applying for a job vacancy).

Depending on the context of your communication, we will use your personal information where we have an interest to do so, for example to:

to respond to your enquiry or provide you with information that you request from us;
to provide you with information we offer that is similar to that which you have already purchased or enquired about;
to consider your application to work for us;
to consider how your business could support or work with our business;
to respond to any existing client, supplier or partner of ours in relation to a pre-existing agreement or relationship;
to carry out our obligations arising from any contracts entered into between you and us; and
to ensure that content from our site is presented in the most effective manner for you and for your computer.

You are entitled to unsubscribe from us contacting you by e-mail or by telephone for this reason at any time. If you subsequently decide that you do not want to hear from us about the service we could provide to your business, please let us know by emailing contact@ogdc.org with the subject heading “Unsubscribe” or please click the “unsubscribe” link at the bottom of any email that we have sent to you. If you do unsubscribe, this will not affect our use of the personal information prior to you unsubscribing, but it will mean that we will not be able to contact you about the services we may be able to offer you or your business in the future.

2. Information we collect about you

With regard to each of your visits to the site we may automatically collect the following information:

Technical information, including the Internet protocol (IP) address used to connect your computer to the Internet, browser type and version, time zone setting, browser plug-in types and versions, operating system and platform.
Information about your visit, including the full Uniform Resource Locators (URL), clickstream to, through and from the site (including date and time), products you viewed or searched for, page response times, download errors, length of visits to certain pages, page interaction information (such as scrolling, clicks, and mouse-overs), methods used to browse away from the page and any phone number used to call our contact number.
Logging of meeting (in-person and online) notes for the purposes of tracking discussions and managing follow-up actions effectively. We will not record sensitive data without explicit consent and will ensure that such notes are securely stored; no personally identifiable information or sensitive details will be logged for Chatham House rule events unless consent is obtained.
Syncing of email and calendar data, the types of data collected (e.g., contact details, meeting schedules).

We will use the above information where we have a legitimate interest to do so, such as:

to administer our site and for internal operations, including troubleshooting, data analysis, testing, research, statistical and survey purposes;
to improve our site to ensure that content is presented in the most effective manner for you and for your computer;
to allow you to participate in interactive features of our service, when you choose to do so;
as part of our efforts to keep our site safe and secure; and
to make suggestions and recommendations to you and other users of our site that may interest you or them.

Where we do rely on a legitimate interest to process your information, we carry out a “balancing” test to make sure our legitimate interest does not override your privacy rights as an individual.

We consider that it is reasonable for us to process your information for the purposes of our legitimate interests outlined above as: (a) we process your information only so far as is necessary for such purpose; and (b) it can be reasonably expected for us to process your information in this way.

3. Information we receive from other sources

In certain circumstances (e.g. following an application for a vacancy), we may combine the information you give to us with information we collect about you from additional sources. We will use this information and the combined information for the purposes set out above (depending on the types of information we receive).

4. Disclosure of your information

We may share your personal information with others in order to confirm your identity and respond to your enquiry. By visiting our site, the following disclosures may occur:

we may check your personal information by searching for your name and that of your business in a publicly available and private database of businesses and individuals, which will use the details entered by us to provide us with the search results. For example, we may use databases such as those retained by LinkedIn or Companies House for this purpose; and
we may pass your information to selected third parties including

signatories of the Oil and Gas Decarbonization Charter;
business partners, suppliers and sub-contractors for the performance of any contract we enter into with them or you;
advertisers and advertising networks that require the data to select and serve relevant adverts to you and others. We do not disclose information about identifiable individuals to our advertisers, but we will provide them with aggregate information about our users (for example, we may inform them that 500 men aged under 30 have clicked on their advertisement on any given day). We may also use such aggregate information to help advertisers reach the kind of audience they want to target (for example, women in SW1);
analytics and search engine providers that assist us in the improvement and optimisation of our site (also see “Use of HubSpot” below;
a third party to which we have a duty to disclose or share your personal information in order to comply with any legal obligation, or in order to enforce or apply our terms of use and other agreements; or to protect our rights, property, safety and the rights, property and safety of others. This includes exchanging information with other companies and organisations for the purpose of fraud protection and credit risk reduction.

If we do share your personal information with others, we will do so in accordance with this policy and with the Data Protection Legislation.

Use of HubSpot

We use HubSpot as a data processor to assist in managing contact records, tracking engagement, and automating communications. HubSpot collects and processes personal data on our behalf, including:

Contact details provided via forms (e.g., name, email, job title).
Engagement activity such as email replies, page views, and meeting notes (excluding sensitive information).
Logging meeting notes and engagement history in contact records.
Automated insights and follow-up task suggestions generated by HubSpot’s AI functionalities, such as follow-up emails, sending meeting invites, and creating scheduling links. Such functionalities will not produce significant legal or similarly significant effects on individuals.

All data processed by HubSpot is handled in accordance with data processing agreements and appropriate safeguards, including compliance with GDPR and UK data protection laws. Transfers to HubSpot in the US are protected by appropriate safeguards through [SCCs][DFF].

5. Records of personal information

We will keep a record of the personal information that we receive from you in accordance with our legitimate interest to answer your enquiry or in response to an enquiry from one of our existing suppliers. We will retain a copy of your personal information held for the specific purpose for which it was provided, until it is no longer required to fulfil that purpose and we no longer need to comply with a legal obligation that requires us to retain your personal information.

6. Transfers outside the United Kingdom or EEA: where we store your data

The data that we collect from you may be transferred to, and stored at, a destination outside the United Kingdom or the European Economic Area (“EEA”). In particular, we may transfer personal information to our parent company in the U.S. It may also be processed by staff operating outside the United Kingdom or EEA who work for us or for one of our suppliers. This includes staff engaged in, among other things, the provision of information to you. We will take all steps reasonably necessary to ensure that your data is treated securely and in accordance with this privacy policy.

Where we pass your personal information to parties located outside of the United Kingdom or EEA that do not offer adequate protection, if they are not subscribed to an approved data protection framework, we will enter into agreements which enable us to transfer that personal information to them and that enable you to exercise your rights in accordance with the Data Protection Legislation.

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal information, we cannot guarantee the security of your data transmitted to our site; any transmission is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorised access.

We will carry out an appropriate risk assessment of the laws and practices of the destination country to identify any technical and organisational measures that need to be put in place to ensure that your personal information is fully protected when in that country.

Our site uses cookies to collect information. Cookies are small data files which are placed on your browser and the hard drive of your computer, mobile or other handheld device as you browse the site. We use cookies to store information about your visit to the site and distinguish you from other users.

Welcome to the Oil and Gas Decarbonization Charter (“OGDC”) Signatories Directory (the “Directory”) website (the “Site”). Our Terms of Use (“Terms”) is a legal agreement between you, a user of the site, and OGDC, supported by the Oil and Gas Climate Initiative (“OGCI”) and its members, group companies and subsidiaries, including but not limited to OGCI Climate Investments LLP (“CI”), that governs your use of the Site, which includes all webpages, information, audio, video, photos, logos, graphics, text or other materials of any nature whatsoever that are available in connection therewith and the Directory. Your access to the Site and use of the Directory is conditioned upon your acceptance of these Terms, which you should read carefully. If you do not agree with our Terms, you should not access or use the Site or sign up to or use the Directory. Unless otherwise stated, OGDC owns or licenses the copyright and all other intellectual property rights on our Site, and those rights are protected by United Kingdom and international copyright laws and other intellectual property laws. You agree to our publication of your contact details (name, organisation, role and e-mail address) on the Directory, which will be available to other persons and organisations also included in the Directory, including OGDC signatories, their employees and agents (“Contacts”).

You shall at all times comply with all applicable competition/antitrust laws when contacting and communicating with any Contacts and shall not at any time share any sensitive information with any Contact that 1) you are not authorised to share and 2) that may be deemed to be in breach of applicable competition/anti-trust laws. Your communication with Contacts shall be for the general purpose as outlined on this Site.

You shall not use the Directory as a means to send Contacts or any of them unsolicited marketing communications, any unlawful, unsuitable, discriminatory or malicious content.

Contact details are shared on the Directory by us in good faith. We are not responsible for the accuracy of any Contact details contained in the Directory or for any communications (including the content of such communications) that you have with any Contact of any nature. We do not accept any liability in connection with such communications.

We agree to only to use your personal data for the purpose of publication in the Directory, as detailed above and in accordance with our Privacy Policy.

Following your request for us to do so, we shall promptly remove your contact details from the Directory and remove your contact details from our database in accordance with the Privacy Policy. 5. Disclaimer of certain damages

To the maximum extent permitted by applicable law, in no event will we have any liability, direct or indirect, (whether at law (including negligence), under statute, in equity or otherwise) to any person based upon, relating to, resulting from, or in connection with the Site and the Directory or its accuracy, sufficiency or completeness, or these Terms.

6. Limitation of liability and exclusive remedies

To the maximum extent permitted by applicable law and to the extent they are not excluded or disclaimed hereunder, our maximum, aggregate liability to you, and your exclusive remedy under these terms for any and all damages, injuries, and losses arising from any and all claims and causes of action arising out of, in connection with, based on, resulting from, or in any way related to these Terms, the Site or the Directory shall be limited to five pounds (£5.00). The existence of multiple claims or suits under or related to these terms or the site will not enlarge or extend the limitation of money damages.

We do not guarantee that our Site will be secure or free from bugs or viruses and we will not be liable for any loss or damage caused by a virus or bug, a denial-of-service attack or any other technologically harmful materials that may infect your computer equipment, computer software, computer programmes or any other material due to your use of the Site, ani content contained on it or downloaded from it or any website linked to it.

You are responsible for configuring your information technology, computer programmes and platform to access the Site. You should use your own virus protection software.

You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. 7. Independent remedies

Each of the limitations of liability herein apply without regard to whether loss, liability, or damage arise from or in connection with (a) breach of contract, (b) breach of warranty, (c) fault or tort, including negligence and misrepresentation, (d) strict liability, or (e) any other cause of action, to the extent the exclusions and limitations are not prohibited by applicable law. Some jurisdictions do not allow the exclusion or limitation of damages in certain circumstances and nothing herein will be interpreted as excluding liability which cannot under applicable law be excluded in those jurisdictions. If you reside, or are otherwise subject to the laws in one of those jurisdictions, any statutory entitlement available to you will be deemed limited to the extent (if at all) permissible under that law.

8. Indemnification

You hereby agree to defend, indemnify, and hold OGDC, its members and their respective affiliated entities, including but not limited to OGCI and CI and its affiliates, as well as all directors, officers, employees, agents, partners, suppliers, and licensors of the foregoing entities and such affiliates, harmless and will keep them indemnified from any third party claims or demands, including reasonable legal fees, relating to, arising from, in connection with, or allegedly arising from or in connection with (a) your use of the Site and/or the Directory; (b) any violation by you of these Terms; or (c) your violation of any other party’s rights or applicable law.

9. Changes to these Terms

We reserve the right to change these Terms at any time, in our sole discretion, upon notice to you. We may give notice by posting updated Terms on the Site, sending you an email, or by any other reasonable means. The updated Terms will govern your use of the Site and the Directory as of the Effective Date indicated at the top of these Terms. If you do not agree to the updated Terms, you should stop using the Site and the Directory. Your use of the Site and the Directory after the Effective Date of the updated version of these Terms will constitute your acceptance of the updated Terms. We reserve the right to terminate the Site and/or the Directory at any time without notice for any reason.

10. Rights of Third Parties

These Terms do not give rise to any rights for a third-party to enforce any of these Terms apart from in respect of all directors, officers, employees, counsel, consultants, contractors, affiliates, members, and shareholders of OGDC, OGCI and CI, each of which are intended third-party beneficiaries of these Terms with the right to enforce all the same rights as those conferred on OGDC, OGCI and CI herein as though it was conferred directly on them, but for the avoidance of doubt their consent to vary or rescind these Terms is not required.

11. Governing Law and Exclusive Jurisdiction and Venue

These Terms (and any non-contractual disputes or claims) and your use of the Site and the Directory is governed by the laws of England and Wales, without regard to its conflicts of law principles. You expressly agree that jurisdiction and venue for any dispute relating to or arising from these Terms, the Site or the Directory will reside in the courts of England.

12. General

If any provision of these Terms is determined by a court of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions of these Terms will remain in full force and effect. We may assign these Terms, in whole or in part, at any time, with or without notice to you. You may not assign, transfer, or sublicense your rights, if any, in the Site. If, at any time, we fail to respond to a breach of these Terms by you or others, such failure will not waive our right to act with respect to subsequent or similar breaches. A waiver will only be binding on us if it is in writing and signed by us. These Terms constitute the entire agreement between you and us with respect to the Site and the Directory. All provisions which are intended to survive termination of these Terms shall so survive. You agree that any cause of action arising out of or related to the Site , the Directory or these terms brought by you must commence within one year after the cause of action accrues; otherwise, such cause of action is permanently barred.
